Public Market Advisory - Help with "Going Public"
Our advisory practice is there to assist the President and the Board of Directors and Management with their readiness efforts regarding in obtaining financing via a public offering in the US markets and as part of the requirements for meeting the obligations of the Securities Act of 1933 (Securities Act), and the Securities Exchange Act of 1934 (Exchange Act)。Specifically, we will assist with:
- Selecting an investment bank to advise and perform underwriting functions in connection with the issue.
- Our selection process relies on the investment banker's general reputation and expertise as well as on the quality of its research coverage in client’s specific industry
- Selecting a public accounting firm to advise and perform all necessary accounting and auditing functions.
- Our selection process relies on the accounting firm's general reputation and expertise as well as on the quality of its financial expertise in client’s specific industry.
- Selection of legal counsel and follow-up process and the selection of appropriate resources to help client in meeting the Securities Act of 1933 mandates that the company and its counsel draft a registration statement for filing with the SEC.
- Assist in transforming the registration statement into a preliminary prospectus (or “Red Herring”.) after SEC approval and declaration of effectiveness. “
